Law firm advises on successful sale of care service provider
Law firm Wilkes has advised on the successful sale of Complesso Healthcare solutions, a leading provider of supported living services.
The business was acquired by Eden Futures, a specialist care and supported living provider that helps people live more independently.
The Wilkes team was led by corporate partner Rick Smyth, working alongside solicitor Alex Lakeland-Reed, real estate solicitor Charlotte Keyes and trainee Taylor Meadows.
The firm has worked closely with Complesso over the past two years, helping prepare the business for sale and supporting shareholders throughout the process.
Wolverhampton-based Complesso Healthcare solutions has grown significantly over the past ten years and now supports over 200 clients through a combination of supported living services and bespoke community support for people in crisis.
The buyer, Eden Futures, operates nationally and supports people who are autistic or have a learning or physical disability or experience mental ill health.
Eden is backed by Sovereign Capital Partners who have supported Eden’s buy and build strategy since 2010.
The shareholders of Complesso were advised by Bates Weston Corporate Finance (lead advisory) and Wilkes (legal).
Bates Weston Corporate Finance team, Kate Evans, Nicola Bullock and Chris Jones provided corporate finance advice on the transaction to the Complesso shareholders.
The team have worked extensively in the learning disabilities sector for over 25 years.
This deal marks the latest in a long line of successful transactions where their expertise and experience has benefitted clients in the specialist care industry.
John Harper, director for Complesso said “A key focus of the sale process was to identify a buyer who would maintain the quality of support to our clients that has been the differentiating factor in the growth of this business over the past decade.
“At an early stage, it was clear that Eden shared the same ethos and ambitions for the business.
“I would like to take this opportunity to thank the respective teams at Bates Weston and Wilkes for their advice and guidance at every stage of the process.”
Rick Smyth, partner in Wilkes' corporate team, said "We've had the privilege of working closely with the Complesso team to prepare the business for sale, and it's been rewarding to see that work come to fruition.
“This transaction is a great example of how Wilkes can support owner managed clients through significant milestones, and we're delighted with the outcome for everyone involved. We wish the team success going forward"
